These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and AuthIntelligence (“we,” “us,” or “our”), governing your access to and use of the website located at authentelligenceai.com and all related marketing automation, customer relationship management, and communication services (collectively, the “Services”). Use any automated means, including bots, scrapers, or spiders, to access or interact with the Services without our prior written consent

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, if we believe you have violated any of these restrictions.

4. SMS Text Messaging Terms

By opting in to receive SMS messages from AuthIntelligence, you agree to the following terms regarding our text messaging program:

4.1 Program Description

You consent to receive text messages from AuthIntelligence, which may include appointment reminders, scheduling confirmations, account alerts and notifications, promotional offers, and marketing communications related to our Services.

4.2 Consent and Opt-In

By providing your mobile phone number through our website forms or during a purchase and affirmatively opting in (for example, by checking a consent box or submitting a form that clearly discloses that you will receive text messages), you expressly consent to receive recurring SMS messages from AuthIntelligence at the number provided. We use a double opt-in verification process to confirm your consent before sending recurring messages.

For marketing messages, the opt-in disclosure presented at the point of consent reads substantially as follows:

“I consent to receive marketing text messages, about special offers, discounts, and service updates, from AuthIntelligence at the phone number provided. Message frequency may vary. Message & data rates may apply. Text HELP for assistance, reply STOP to opt out.”

For non-marketing messages (such as appointment reminders or account notifications), the opt-in disclosure presented at the point of consent reads substantially as follows:

“I consent to receive non-marketing text messages from AuthIntelligence about appointment reminders, account alerts, and service notifications. Message frequency may vary, message & data rates may apply. Text HELP for assistance, reply STOP to opt out.”

Consent to receive text messages is not a condition of purchase or use of our Services.

4.3 Message Frequency

Message frequency may vary depending on your account activity, preferences, and the types of communications you have opted into. You may receive multiple messages per week.

4.4 Message and Data Rates

Standard message and data rates may apply to any SMS messages sent to or received from AuthIntelligence, as determined by your mobile carrier. AuthIntelligence is not responsible for any messaging or data fees charged by your carrier.

4.5 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by replying with any of the following keywords to any text message you receive from us: STOP, UNSUBSCRIBE, END, QUIT, CANCEL, or STOP ALL. Upon receipt of your opt-out request, you will receive a single confirmation message that reads: “You have successfully been unsubscribed from AuthIntelligence. You will not receive any more messages from this number.” You will not receive any further SMS messages from us after this confirmation unless you choose to re-subscribe at a later time.

4.7 Carrier Liability

Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and network availability.

5. Payment Terms

Certain features of our Services may require payment of fees. All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge applicable fees. All fees are quoted in U.S. dollars and are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change our pricing at any time, with reasonable notice provided to existing subscribers before any price increase takes effect.

6. Intellectual Property

All content, features, functionality, software, text, graphics, logos, trademarks, and other materials available through the Services are owned by or licensed to AuthIntelligence and are protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent. Your use of the Services does not grant you any ownership interest in or license to our intellectual property, except for the limited right to use the Services in accordance with these Terms.

7. User Content

You retain ownership of any content, data, or materials that you submit, upload, or transmit through the Services (“User Content”). By submitting User Content, you grant AuthIntelligence a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely as necessary to provide and improve the Services. You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe upon the rights of any third party.

Our Services may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by AuthIntelligence. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services, including Stripe for payment processing, are governed by their respective terms and policies. 9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTHINTELLIGENCE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTHINTELLIGENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AuthIntelligence and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if your continued use of the Services poses a risk to us, our users, or third parties. Upon termination, your right to use the Services will immediately cease, and any provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Lubbock County, Texas, and you consent to the personal jurisdiction of such courts. If the dispute is not resolved within thirty (30) days of the initial contact, either party may then proceed with formal legal action.

We reserve the right to modify or update these Terms at any time at our sole discretion. Your continued use of the Services following the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and AuthIntelligence regarding your use of the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and AuthIntelligence.
